RoboStrategy Raises $122.9 Million in Share Issuances to Expand Physical AI Investments

RoboStrategy, an investment fund focused on private robotics and physical AI companies, has raised about $122.9 million through five private issuances of new shares.
The company said on Aug. 10 that it issued a total of 4,045,512 common shares in the five private placements. It plans to use the proceeds for follow-on and new investments in private robotics, physical AI and embodied AI companies.
The fundraising combines transactions announced on June 18, June 26, June 29, July 8 and July 15. Together, the five issuances raised about $122.9 million.
The most recent private placement included institutional investors and RoboStrategy Chief Executive Officer Andrew Kang. Kang invested about $10 million of personal funds on July 14 to purchase 272,405 common shares at $36.71 apiece. The purchase price matched the stock's Nasdaq closing price that day.
In the private placement conducted from July 7 to July 14, RoboStrategy issued 450,684 shares at a weighted average price of about $35.50 each, raising about $16 million. The previous four issuances raised about $28.9 million, $36.5 million, $33.9 million and $7.6 million, respectively.
RoboStrategy plans to deploy the new capital into additional investments in existing portfolio companies and new positions. Its current portfolio includes Figure AI, Apptronik, Dyna Robotics and Dexmate.
RoboStrategy is a registered closed-end fund trading on Nasdaq under the ticker BOT. It invests in private companies across the robotics and physical AI industry, including humanoid robots, autonomous systems, robotics supply chains and AI infrastructure.
The new shares were issued through private placements exempt from registration requirements under U.S. securities law. RoboStrategy plans to pursue related registration procedures to support future resales of the shares by investors.
