A planned merger between South Korean digital-asset treasury company ParataxisEthereum and Parataxis Korea has been abandoned.

ParataxisEthereum said on Oct. 6 that its board had resolved to terminate the merger agreement with Parataxis Korea. The two companies also signed an agreement the same day to cancel the merger contract.

ParataxisEthereum had signed the merger agreement in April to absorb Parataxis Korea. The plan was intended to streamline the governance structure, sharpen business focus among affiliates and stabilize finances.

The plan was disrupted after the Korea Exchange decided in August to delist Parataxis Korea. ParataxisEthereum said material changes in internal and external conditions had emerged after the merger decision, creating uncertainty that could affect key assumptions behind the deal and its timetable. As a result, it said it had become difficult to reasonably predict when its securities registration statement would be filed and when it would take effect.

The company said pushing ahead with the merger under those conditions could deepen investor confusion. Parataxis Korea said continuing the process could lead to large-scale exercise of shareholder appraisal rights, and that the resulting cash outflows could place a heavy burden on its liquidity and financial structure.

It added that prolonged uncertainty could weigh on management decision-making and business operations. Repeated changes to the schedule and related disclosures could also heighten confusion among shareholders and in the market.

With the merger plan withdrawn, ParataxisEthereum also canceled an extraordinary shareholders' meeting that had been scheduled for Nov. 27.

Separately, ParataxisEthereum adopted an Ethereum DAT strategy after it was acquired last year by U.S. hedge fund Parataxis Holdings, becoming the first listed South Korean company to do so. According to CoinGecko, the company held about 10,450 Ether as of Oct. 6, ranking 13th among listed companies worldwide.
